DOMAIN NAME ASSIGNMENT AGREEMENT

This Domain Name Assignment Agreement (the “Agreement”) is entered into by and between Name of seller (“Seller”), and Name of Buyer (“Purchaser”), (collectively, the “Parties”), effective as of the date last signed below.

RECITALS

WHEREAS, Seller has registered and is using the Internet domain name Full domain name here (the “Domain Name Registration”) with domain name registrant List registrar here.

WHEREAS, Seller desires to transfer and assign all right, title, and interest in and to the Domain Name Registration to Purchaser and Purchaser agrees to purchase from Seller all right, title, and interest in and to the Domain Name Registration.

NOW, THEREFORE, in consideration of the Agreement and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the Parties agree as follows:

1. Seller hereby transfers, assigns and conveys to Purchaser for the total sum of Price of domain written in followed by (numerical value in parenthesis): a) any and all of Seller’s right, title and interest in and to the Domain Name Registration, which is, to Seller’s knowledge, free and clear of any and all claims, liens, and encumbrances; and b) any other rights associated with the Domain Name Registration, including, without limitation, any intellectual property rights and associated goodwill.

2. Seller will cooperate with Purchaser and take any and all actions necessary to transfer and perfect the ownership of the Domain Name Registration from Seller to Purchaser. This includes, but is not limited to, providing an email acknowledgement of the assignment by the Seller to Purchaser from the current Administrative Contact for the domain name, with an email address at Enter email address used by Admin Contact.

3. Following the execution of this Agreement, Seller will refrain from any and all use of the Domain Name Registration and will cease any and all use of the website located at Enter Full domain name here.

4. Seller represents and warrants that it has full authority to enter into this Agreement.

5. Both Parties will keep the terms of this Agreement confidential, unless otherwise authorized by Purchaser to disclose them, or unless required by law or a court of competent jurisdiction.

6. This Agreement will inure to the benefit of and be binding upon each of the Parties’ respective agents, representatives, shareholders, officers, directors, employees, successors, assigns, heirs, subsidiaries and parent companies.

7. This Agreement may be executed in counterparts, each of which, including those with facsimile signatures, will be deemed an original, but all of which together constitute one and the same agreement.

8. Seller and Purchaser both affirmatively represent to the other that each has carefully read this Agreement and that this Agreement constitutes the entire understanding between the Seller and the Purchaser concerning the Domain Name Registration.

No no no - heaven forbid. Use this with or without escrow service.

The attorney will be forwarding payment to me.

I think anyone can use this under any circumstance (or sale of any goods) to ensure that the other party will abide by the agreed terms - whether you are the seller or the one buying a name or product.

Not sure, perhaps he paid with monopoly money since he had monopolized that sector of the domain drops.

The form he hopes to use is "Get Out of Jail Free" card.
