Delaware and Nevada are popular, especially in a business where intellectual property is paramount (such as domains.)

In a Nevada corp you can use bearer shares, so in theory the owner of the corp can be unknown to IRS. (But don't count on it.)
But after 2001 it's a problem for non-us citizens to open a US bank accounts, even for corporations, regardless of state.
